 2.     GENERALITIES AND DEFINITIONS

Only present conditions of sale apply to online sales to end-users of VDS FOOD and this on Belgian territory.
They apply to the exclusion of all other conditions, even those listed on purchase orders issued by the buyer.
VDS FOOD reserves the right to modify these terms and conditions at any time. However, current contracts remain subject to the conditions applicable at the time the sale takes place.

 3.      CONCLUSIONS OF ONLINE SALE

The product catalog and their description on www.vds-food.com does not form an offer as such.
Therefore, it is not sufficient to browse through the ordering procedure on our site for the creation of the sale contract. The sale will only definitively be concluded upon receipt of the e-mail acknowledge.
The sale shall made deemed concluded at the head office of VDS FOOD, Avenue van Volxem 461, 1190 Brussels.  

4.      LANGUAGES AVAILABLE DURING PURCHASE

Languages available on the site www.vds-food.com to make purchases are French, Dutch and English.

5.      STEPS DURING PURCHASE

During his visit on the www.vds-food.com site, the customer must initially register with a username and password; account confirmed by VDS-Food. Then he will have access to the customer side.

The customer then makes his purchases using a virtual basket that will gradually fill up while he browses through the products, or else by directly using order lists previously made.

Once the basket is filled, the customer is asked to verify it; change quantities, remove products, or possibly add further specifications to certain products.

An overview is then available, on which he can no longer change the list of products, nor the delivery or collection address. He is asked to confirm the date of the delivery or collection.

Then, the order will be confirmed definitively, and the customer will receive an electronic receipt of it.

At any time in the ordering procedure, the customer can turn back to a previous step and modify certain settings. The order is completed once the customer has validated his order during the last step.

6.      STORAGE OF ORDERS

The orders are electronically archived for an indefinite period on the www.vds-food.com site and can only be seen by the customer using the secured space.

7.      TRANSFER OF OWNERSHIP

By derogation from Article 1583 of the Civil Code, goods sold and delivered, remain the exclusive property of VDS FOOD, until full payment of our invoices.

Notwithstanding this reservation of ownership, all risk of loss and damage on the goods concerned are transferred to the customer upon taking possession.

8.      RIGHT OF WITHDRAWAL

The buyer who signed an order form or placed an order on the VDS FOOD website does not have any right of withdrawal neither on food products nor on «  non-food » products.

9.      PRICES

Our prices do not include VAT unless otherwise stated.

The price mentioned on the website is not the final price. This applies to fresh products (such as meat, fish, fruits and vegetables, etc.), for which the applied price will be the price of the day (i.e. the price applicable in our Cash&Carry on the day of preparation of the order for delivery). For products whose weight varies, a price estimate is given when ordering based on the price per unit of measurement and an approximate quantity of the product. The final price is calculated at the delivery time based on the exact weight of the delivered product. In the above cases, the final price will be communicated to the customer upon delivery.

10.   PAYMENT, INTERESTS ON DELAYS AND CONVENTIONAL DELAY COMPENSATION

All invoices are payable in cash at the operating site chosen when ordering or to customers in legal tender in Belgium. Payment can also be made by bank, after written agreement from the manager.

VDS FOOD reserves the right to cease the supply when the customer fails to pay by the deadline specified.

Any unpaid invoice on the due date will automatically and without further notice generate an interest at the rate of 1% a month calculated from the date of invoice, and a conventional indemnity of 15% on the total amount of the invoice with a minimum of 40,00 €.

11.    DELIVERY

We deliver for a minimum amount: see "Services offered" page. This minimal order amount can also be revised depending on market developments and operating costs.

12.   AGREEMENT

Signature of the delivery note or invoice prevails explicit agreement with the delivered goods.

Payment for the products made by the Customer at the time of delivery confirms receipt of the products as shown on the delivery note and results in definitive acceptance of the products delivered, subject to any hidden defects.

In case of payment after delivery, signing the delivery note has the same effects. Taking delivery and payment constitute final acceptance of the products, subject to any hidden defects.

13.   GUARANTEE AND LIMITATION OF RESPONSIBILITY

The responsibility of VDS FOOD is strictly limited to refund and/or replacement of goods for which a valid claim has been made.
Please note that the right of withdrawal is excluded:
• Products likely to deteriorate or expire quickly (fresh product, products removed from the cold chain, etc.)
• The supply of products which, after being delivered and by their nature, are inseparably mixed with other items.

14.  CHOICE OF COURT

In case of dispute, the courts of the judicial district of BRUSSELS shall have sole jurisdiction.
